Terms of Service

1. Nature of the Service

TRULT™ is an independent, diagnostic platform that evaluates qualitative corporate documentation against a proprietary, deterministic scoring methodology to produce an Execution Alignment diagnostic, including a Signal Distortion Score (SDS) and associated reports.

TRULT™ is strictly a non-predictive, non-forecasting instrument. It does not provide subjective coaching, consulting, financial, legal, or investment advice, and it does not guarantee any business outcome. All outputs are informational diagnostics, and all downstream decisions, budgets, and execution tracks remain entirely within your control and responsibility.

2. Eligibility & Enterprise Use

The Service is intended exclusively for business and institutional use by organizations evaluating or engaging with TRULT™ in a professional capacity. By using the Service, you represent that you are at least 18 years old and are accessing the Service on behalf of a business, organization, or professional enterprise, and that you have the authority to submit any information or documentation you provide.

3. Access Requests & Pilot Programs

Submitting your email through the Secure Portal Access form, or completing a diagnostic questionnaire, does not itself create a binding commercial agreement. Any engagement, pilot program, or paid subscription (including the B2B Enterprise Tier) will be governed by a separate written agreement between you and TRULT, which will set out applicable fees, scope, and terms.

4. Your Responsibilities

You agree that you will:

• — provide accurate information when submitting forms or questionnaires;
• — use the Service only for lawful, legitimate business purposes;
• — not attempt to reverse-engineer, extract, or replicate the underlying diagnostic methodology; and
• — not use the Service to submit unlawful, infringing, or malicious content.

5. Intellectual Property

TRULT™, TRULT-IT™, the TRULT logo, the four-layer diagnostic framework, the Signal Distortion Score methodology, and all associated content, software, and materials on this site are the property of TRULT-IT™ or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you any ownership interest in, or license to, TRULT's proprietary methodology, trademarks, or underlying technology, beyond your ability to view and interact with the public website.

6. Disclaimers

THE SERVICE, INCLUDING ANY DIAGNOSTIC OUTPUT, SCORE, OR REPORT, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TRULT DOES NOT WARRANT THAT ANY DIAGNOSTIC OUTPUT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR BUSINESS DECISION, AND ANY RELIANCE ON SUCH OUTPUT IS AT YOUR OWN RISK.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TRULT AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Termination

We may suspend or discontinue your access to the Service, including any pilot or beta access, at any time, with or without notice, for any reason, including if we believe you have violated these Terms.

9. Governing Law

These Terms shall be governed by the laws applicable in TRULT's jurisdiction of incorporation, without regard to conflict-of-law principles. Any separate commercial or pilot agreement may specify additional or different governing law and venue provisions.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
